Terms of Service — RootedIQ

Welcome to RootedIQ. These Terms of Service ("Terms") govern your access to and use of the RootedIQ platform, including our website, mobile applications, and related services (collectively, the "Services"). The Services are owned and operated by Metabolic Terrain Omics, Inc., a Delaware corporation ("RootedIQ," "we," "us," or "our").

By creating an account, accessing, or using our Services, you agree to be legally bound by these Terms. If you do not agree with these Terms, you may not access or use the Services.

Arbitration Notice and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except if you opt out as described below, you agree that any dispute between you and RootedIQ will be resolved by binding, individual arbitration, and not in a court of law. You also waive any right to participate in a class action lawsuit or class-wide arbitration.

Arbitration Process. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules and will be governed by the Federal Arbitration Act. The arbitration will be conducted in Delaware, except that if you are a consumer and the AAA Consumer Arbitration Rules would require it to be conducted in your home state, it will be conducted there.

Opt-Out Procedure. You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by sending a written notice to legal@RootedIQ.ai with the subject line "Arbitration Opt-Out." Your notice must include your full name, residence address, email address, and a clear statement of your intent to opt out.

Notice of Dispute. Before commencing arbitration, you must first send us a written Notice of Dispute that includes your name, residence address, email address, a detailed description of the dispute, and the relief you seek. Send this notice to legal@RootedIQ.ai with the subject line "Notice of Dispute." If we cannot resolve the dispute within thirty (30) days after receiving the notice, either party may commence arbitration.

1. The Services

1.1 Description of Services. RootedIQ is a technology platform that allows users to:

Upload, store, and review laboratory results and other health-related data.
Utilize analytical tools, including artificial intelligence, to gain health-related insights.
Access educational materials and information.
Purchase or access products and services from us or our third-party partners.

1.2 No Medical Advice. THE SERVICES DO NOT PROVIDE MEDICAL ADVICE. The information and tools provided through the Services are for informational purposes only and do not constitute medical advice, diagnosis, treatment, or a substitute for consultation with a licensed healthcare professional. Use of the Services does not create a provider-patient relationship between you and RootedIQ. If you are experiencing a medical emergency, call 911 or contact your healthcare provider immediately.

1.3 AI and Analytical Tools. The Services may include algorithmic or AI-driven tools that analyze health-related information. These tools are for informational purposes only and may not be complete, accurate, or up-to-date. You should not rely on them as the sole basis for medical decisions and are solely responsible for consulting with qualified healthcare professionals.

1.4 Service Availability and Limitations. Our Services are intended for users located within the United States. We do not represent that the Services are appropriate or available for use in other locations. The availability of certain services, tests, and products may vary by state due to local laws and regulations. We reserve the right to restrict access to the Services or certain features based on your location.

2. Your Account and Responsibilities

2.1 Eligibility. To create an account and use the Services, you must be at least eighteen (18) years old or legally emancipated. If you are a parent or legal guardian, you may request laboratory services on behalf of a minor, provided you represent and warrant that you have the legal authority to consent on their behalf. You represent and warrant that all information you provide to us is accurate, complete, and current, and you agree to update your information as necessary to maintain its accuracy.

2.2 Account Security. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to notify us immediately at support@rootedintelligence.ai of any unauthorized access or security breach. We are not liable for any loss or damage arising from your failure to protect your account or from any unauthorized use of your account, whether or not you were aware of such use.

2.3 Technical Requirements. You are responsible for obtaining and maintaining, at your own expense, the computer hardware, software, and internet access necessary to use the Services. You are also responsible for any data charges you may incur from your internet service or mobile carrier. We reserve the right to update the technical requirements for accessing the Services at any time. We are not responsible for any errors or problems that arise from the malfunction of your systems or internet connectivity.

3. User Content and Privacy

3.1 Your Content. You retain ownership of the personal information and health data you upload or submit to the Services ("User Content"). You grant RootedIQ a limited, non-exclusive, royalty-free license to use, reproduce, and process your User Content:

To operate the Services
To provide you with requested features and functionality
To deliver personalized insights and communications, where you have provided applicable authorization
To maintain, secure, and support the platform
To comply with legal and regulatory obligations

RootedIQ does not acquire ownership of your personal health information. RootedIQ will not sell your individually identifiable personal or health information to third parties. To the extent RootedIQ uses data to improve the platform, develop analytics, or conduct research, such use will be performed using de-identified and aggregated data, and where applicable, in accordance with your Research & De-Identified Data Authorization and our Privacy Policy.

3.2 Privacy. Your use of the Services is subject to our Privacy Policy and our Consumer Health Data Privacy Policy. These policies describe how we collect, use, and protect your personal information. In the event of a conflict, the Privacy Policy will govern. We may share your personal information with third parties, including Third-Party Providers, in accordance with these policies and applicable law.

3.3 Personalized Recommendations. If you choose to provide authorization, we may use your health information internally to provide personalized product or service recommendations. You are not required to provide such authorization to use the Services. You may revoke your authorization at any time in accordance with the applicable Medical Information Authorization.

3.4 Feedback. If you provide us with any feedback, comments, or suggestions for improvements to the Services ("Feedback"), you grant us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sublicensable, and transferable license to use, copy, modify, create derivative works from, and otherwise exploit the Feedback for any purpose without any obligation or compensation to you.

4. Payments and Subscriptions

4.1 Payments. If you purchase products or services through the platform, you agree to provide accurate and authorized payment information. All payments are processed through our third-party payment processors. You are responsible for any applicable taxes associated with your purchase. We reserve the right to correct pricing errors and to refuse or cancel any orders placed at incorrect prices.

4.2 Subscriptions. If you enroll in a subscription service, you authorize us to charge your payment method on a recurring basis according to the billing terms disclosed at the time of purchase. Subscriptions will automatically renew unless you cancel them in accordance with the cancellation policy. You may cancel your subscription at any time through your account settings or by contacting our support team at support@rootedintelligence.ai.

5. Prohibited Conduct

You agree not to use the Services for any unlawful purpose or in any way that could harm the Services or other users. Prohibited conduct includes, but is not limited to:

Uploading false, misleading, or inaccurate information.
Interfering with the security or integrity of the platform.
Attempting to reverse engineer, decompile, or disassemble any part of the Services.
Using automated means (such as bots, scrapers, or crawlers) to access or collect data from the Services.
Impersonating any person or entity or misrepresenting your affiliation with them.
Uploading any material that contains viruses, malware, or other malicious code.
Using the Services to provide unauthorized medical advice or engage in the unlicensed practice of medicine.
Violating any applicable local, state, national, or international law.
Infringing upon the intellectual property rights of any third party.
Engaging in any conduct that restricts or inhibits anyone's use or enjoyment of the Services.

We reserve the right to suspend or terminate your account for any violation of these rules and to cooperate with legal authorities in the investigation and prosecution of any violations.

6. Third-Party Services

6.1 Third-Party Providers. The Services may facilitate your access to independent third-party laboratories, clinicians, pharmacies, or other healthcare providers ("Third-Party Providers"). RootedIQ does not control and is not responsible for the services provided by these third parties. Any relationship you form with a Third-Party Provider is solely between you and that provider.

6.2 Third-Party Sites. In the course of using the Services, you may be introduced to third-party websites or applications that are not controlled by us ("Third-Party Sites"). If you choose to access Third-Party Sites, you acknowledge that they may have different privacy policies and terms of service.

6.3 Conflicts of Interest. In some cases, RootedIQ personnel may have a financial interest in a Third-Party Provider or Third-Party Site. We are committed to transparency and will disclose any such potential conflicts of interest where applicable.

7. Intellectual Property

7.1 Our Intellectual Property. All content, software, trademarks, logos, and other materials on the Services are owned by RootedIQ and are protected by intellectual property laws. You are granted a limited, non-exclusive, revocable, non-transferable license to access and use the Services for your personal, non-commercial use.

7.2 Copyright Policy (DMCA). We respect the intellectual property rights of others and expect our users to do the same. In accordance with the Digital Millennium Copyright Act (DMCA), we will respond to notices of alleged copyright infringement that comply with applicable law. Contact our Copyright Agent at legal@RootedIQ.ai with the subject line "DMCA Notice."

8. Disclaimers and Liability

8.1 Disclaimers. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, RootedIQ DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RootedIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (a) one hundred U.S. dollars ($100.00); or (b) the total amount you paid to RootedIQ in the twelve (12) months preceding the claim. ANY CLAIM MUST BE BROUGHT WITHIN TWO (2) YEARS OF THE OCCURRENCE OF THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless RootedIQ and its officers, directors, employees, contractors, affiliates, and representatives from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your violation of these Terms, your violation of any applicable law or regulation, your violation of any rights of a third party, or any content you upload, submit, or transmit through the Services.

10. Termination

10.1 Termination by You. You may terminate your account at any time by contacting support@rootedintelligence.ai. Upon termination, you must immediately discontinue use of the Services.

10.2 Termination by Us. We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, with or without cause, and with or without notice.

10.3 Effect of Termination. Upon termination, your right to access and use the Services will cease immediately. Certain provisions of these Terms will survive termination, including those related to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.

10.4 Prohibition on Re-Registration. If your account is terminated for violating these Terms, you agree not to attempt to re-register or access the Services under any name, whether real or assumed.

11. Mobile Applications

If you access the Services through a mobile application downloaded from the Apple App Store or Google Play (the "App Provider"):

These Terms are between you and RootedIQ, not the App Provider.
The App Provider has no obligation to furnish any maintenance or support services.
The App Provider is not responsible for addressing any claims you have or any claims of any third party relating to the mobile application.
The App Provider and its subsidiaries are third-party beneficiaries of these Terms as they relate to your license of the mobile application.

12. General Provisions

Governing Law. These Terms are governed by the laws of the State of Delaware.

Modifications. We may modify these Terms at any time by posting the updated Terms with a revised effective date. Your continued use of the Services constitutes acceptance.

Entire Agreement. These Terms, together with our Privacy Policy, Consumer Health Data Privacy Policy, and any other referenced policies, constitute the entire agreement.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any provision will not constitute a waiver.

Assignment. You may not assign these Terms without our prior written consent. RootedIQ may assign these Terms at any time without restriction.

Electronic Communications. By using the Services, you consent to receive communications from us electronically.

Export Compliance. You agree not to use the Services in violation of any U.S. export control or sanctions laws.

Force Majeure. RootedIQ is not liable for any delay or failure to perform due to events beyond our reasonable control.
